PharmaDrug agrees to sell German cannabis distribution subsidiary in exchange for equity in Khiron Life Sciences and $1.1M promissory note

PharmaDrug Inc said it has agreed to sell its German medical cannabis distributing subsidiary Pharmadrug Production GmbH to Khiron Life Sciences Corp in exchange for 5,500,000 common shares of Khiron and a non-interest bearing promissory note in the principal amount of $1.1 million, payable one year from the date of issue. Pharmadrug Production has a Schedule I European Union narcotics license and German EuGMP certification allowing for the importation and distribution of medical cannabis to pharmacies in Germany and throughout the European Union.
